SV Corporate Membership Application
ARTICLE 1: SUBJECT
1.1) This Membership Agreement shall be applicable for fulfilment of the services regarding renewable energy sector (the “Services”) to the member (the “Member”) by SolarVision, a registered trademark of EsuenoBV (hereinafter “SV”), with registered office at EsuenoBV-Prins Hendrikkade 21E, 1012 TL, Amsterdam-Netherlands.
1.2) Membership Agreement shall constitute an integral part of any future Additional Services Agreement which may be entered into by and between the Parties.
1.3) This Agreement regulates only membership provisions. If the Member requires additional services, such services shall be regulated under Additional Services Agreement. Upon acceptance of the Additional Services Agreement by the Member, the Additional Services Agreement together with the Membership Agreement shall constitute the agreement one agreement by and between SV and the Member thereof.
ARTICLE 2: MEMBERHSIP TERMS
SV accepts to render the following Services to the Member within the scope of this Agreement:
2.1) SV shall promote the Member and carry out advertising activities of the Member, including but not limited to news, video, products, services, interviews.
2.2) SV will share Member news with its followers via esueno.com, weekly e-newsletters and its associated social media accounts.
2.3) SV shall organize conferences, seminars, webinar and workshops for its Members.
2.4) Member will be invited to various SV organizations such as networking events, dinners, workshops, congresses, expo and authority visits.
2.5) Member will get priority to take part in SV’s social responsibility projects and other projects regarding renewable energy.
2.6) Member will be included in the working groups, regarding the Member’s field of activity on renewable energy sector.
2.7) Sectoral reports, latest news, legislative novelties shall be sent to Member periodically. Energy transition related topics will be discussed in SV Digital Groups (such as email groups or whatsapp)
2.8) A dedicated member page will be opened on solarvision.org/company-name. All contents are automatically translated from English to other major languages via AI tools.
ARTICLE 3: PRICE AND PAYMENT TERMS
3.1) Annual membership fee is 1,000 Euro.
3.2) SV and the member shall mutually negotiate the fees for additional services not included in this agreement.
3.3) SV membership services begin once the form below has been submitted and the membership fee has been transferred to the bank account.
3.4) Any applicable taxes and charges arising out of execution of this Agreement shall be paid by Esueno.

ARTICLE 4: OBLIGATIONS OF THE PARTIES
4.1) The Parties agree that the addresses determined above are their respective notification addresses. Any notification delivered to the latest notified address of any party shall be deemed to have duly been delivered to the respective party unless such party notifies the other party of any address change within 7 (seven) days by registered e-mail.
4.2) The Member shall not copy, reproduce, republish, upload, post, transfer, and/or distribute SV Web site or its contents thereof or otherwise shall not use in any manner whatsoever to create any works derived from these contents without prior written consent of SV.
4.3) In case the Member performs any action on the esueno.com platform to damage the reputation, dignity or private and/or business life of Esueno or any third person, or in case the Member directly or indirectly damages Esueno or any third person, the member hereby accepts and undertakes to indemnify such damages immediately upon the first claims for damages thereof. SV reserves the right to take legal action.
ARTICLE 5: TERM AND TERMINATION
5.1) This Agreement is executed for one year and unless terminated by one of the Parties one month prior to the end of term it shall be prolonged automatically with the same term and conditions.
5.2) In case the Member intents to terminate the Agreement prior to the termination date the Member shall immediately pay to Esueno any remuneration that becomes due until the termination date.
ARTICLE 6: CONFIDENTIALITY
6.1) “Confidential Information” covers any documents and agreements delivered to SV during the term of the Agreement and relevant negotiations; any information disclosed to SV as well as any information which was not disclosed to the public on the Member’s assets and activities and/or the assets and activities of the Parties, production, financial status of their affiliates and any information on any similar matters thereof as well as any information related to this Agreement in any manner or any information of technical nature. Confidential Information is any kind of commercial information notified by either party to the other party by written and/or verbal and/or by electronic formats and means.
6.2) Parties hereby accept, declare and undertake that they shall keep any Confidential Information, and they shall keep such information as confidential and as a secret, and they shall not disclose such confidential information, in part or in whole, directly or indirectly, to any third parties, whether natural or legal persons provided that the provisions of applicable laws, regulations and legislation shall be reserved.
ARTICLE 7: APPLICABLE LAW
7.1) This Agreement is subject to the Dutch law and shall be interpreted accordingly. In case any kind of dispute arising out of this Agreement or related to this Agreement cannot be resolved amicably between the Parties within 30 days from the notification of such a dispute by a party to the other party thereof, Amsterdam Courts shall be exclusively authorized to resolve such disputes thereof.
